Terms of Service

1. The Service

NutriAffiliate ("we", "the Platform") provides affiliate program software: tracking links, attribution, commission accounting, a program directory, and payout facilitation. We are a software provider and marketplace operator - not a party to any sale between a brand's customer and the brand, and not an employer, agent, or partner of brands or affiliates.

2. Accounts

You must provide accurate registration information and keep credentials confidential. One person or entity per account. We may suspend accounts that violate these terms, engage in fraud, or abuse the tracking systems.

3. Brands

• You are responsible for the products you sell, your marketing claims, and compliance with advertising, health-claim (FDA/FTC or local equivalent), and consumer protection laws in every market you sell into.
• You agree to honor the commission terms you publish in your programs. Commissions on valid, attributed, non-refunded orders are owed to affiliates per your program terms.
• Platform fees (subscription + network fee) are billed per your plan. Failed payments may restrict account features after a grace period.
• Refund and chargeback data must flow to the Platform (via integration, webhook, pixel or API) so commissions can be reversed accurately.

4. Affiliates & Creators

• You may only use brand-approved creatives and claims. Do not make medical, therapeutic or disease claims about supplements, cosmetics or wellness products.
• Prohibited promotion methods: cookie stuffing, click fraud, self-referrals, incentivized clicks, misleading advertising, spam (including unsolicited bulk email), trademark bidding on brand terms where the brand disallows it, and any method that artificially inflates clicks or orders.
• Commissions are pending during the brand's refund window and become payable after clearance. Reversed or refunded orders do not earn commission. Chargebacks after payout may be clawed back from future payouts.
• You are an independent contractor. You are responsible for your own taxes on earnings; payout onboarding collects required tax information via our payment provider.
• You must disclose material connections per FTC endorsement guidelines (e.g., #ad, affiliate disclosure) wherever you promote.

5. Money flow

Customer transactions occur on the brand's own store. The Platform calculates commissions and facilitates payouts via Stripe; brands fund payout batches (commissions + platform fees), and affiliates receive transfers to their connected payout accounts. The Platform does not hold customer funds and is not a money transmitter.

6. Content & Intellectual Property

Brands retain ownership of creatives they upload and grant affiliates a limited license to use them for promotion of that brand. You grant the Platform a license to display program terms publicly in the directory. Blog content on the Platform is for general information and is not medical advice.

7. Termination

Either party may close an account at any time. Approved, payable commissions survive account closure and are paid on the normal schedule. Fraud-related terminations forfeit pending commissions.

8. Liability

The Service is provided "as is". To the maximum extent permitted by law, our aggregate liability is limited to the fees you paid us in the 12 months preceding the claim. We are not liable for lost profits, indirect or consequential damages, or for the conduct of brands, affiliates, or third-party services (Stripe, Shopify, WooCommerce, Google).

9. Changes

We may update these terms; material changes are announced by email or dashboard notice with 14 days' notice. Continued use constitutes acceptance.
